1. AGREEMENT TO TERMS

1.1

These Terms of Sale (“Terms“) are a legally binding agreement between you (“you” or “your”) and Flipper Devices, Inc., a Delaware corporation (“Flipper,” “we,” “us,” or “our”), with its principal address at 2803 Philadelphia Pike, Suite B #551, Claymont, DE 19703, USA.

1.2

By placing an order for a Flipper BUSY Bar or any other product through our online store at busy.app (the “Store”), you agree to be bound by these Terms. If you do not agree, do not place an order.

1.3

These Terms apply only to the purchase and sale of hardware products. Use of the BUSY Bar companion application, firmware, and cloud services is governed by our separate Terms of Service.

2. ELIGIBILITY

2.1

You must be at least 16 years old to place an order. If you are between 16 and 18 years old (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. PRODUCTS AND PRICING

3.1

Product Description. The Flipper BUSY Bar is an IoT productivity device with an LED status indicator that displays your availability status (busy, free, or custom states). The BUSY Bar is designed to work with companion software for mobile devices and desktop computers; supported platforms are listed at https://busy.app/products/busy-bar. The BUSY Bar connects to 2.4 GHz Wi-Fi networks for setup, configuration, and full functionality. Product specifications, features, and images on the Store are for reference only. We make reasonable efforts to display product details accurately, but minor variations may occur.

3.2

The BUSY Bar is manufactured by Flipper FZCO (Dubai Silicon Oasis, P.O. Box 451495, Dubai, UAE) and sold to you by Flipper Devices, Inc. The product complies with applicable regulatory certifications for the market in which it is sold; for the full list of certifications, regulatory markings, and environmental compliance information (including battery, RoHS, REACH, and WEEE), see our Compliance page.

3.3

Product Data. The BUSY Bar generates status settings, device preferences, connectivity events, and diagnostic data. This data is generated continuously during use and is accessible through the BUSY app. You have the right to access your product data free of charge, in a structured, commonly used, and machine-readable format. For full details on data categories, access, and your rights, see our Compliance page and Privacy Policy.

3.4

Pricing. Prices are displayed in the currency applicable to your region (such as USD, EUR, GBP, or CAD), as shown at checkout. Prices are subject to change without prior notice, but any price change will not affect orders that have already been accepted by us.

3.5

Taxes. Applicable sales tax, value added tax (VAT), goods and services tax (GST), customs duties, or other taxes and charges will be calculated and displayed at checkout. You are responsible for any import duties or taxes imposed by your country of residence.

4. ORDERS AND PAYMENT

4.1

Placing an Order.

(a)

Placing an order through the Store constitutes an offer to purchase. It is not a binding contract until we accept your order. We will send you an order confirmation email upon receipt of your order. This confirmation acknowledges that we received your order but does not constitute acceptance.

(b)

We accept your order when we ship the product and send you a shipping confirmation email. At that point, a binding purchase contract is formed between you and us. For consumers in the EU/EEA/UK, this does not affect any rights arising from the placement of your order under applicable consumer protection law.

4.2

Payment.

All payments are processed through Shopify Payments. We accept major credit and debit cards and other payment methods as displayed at checkout. Payment is charged at the time you place your order.

(b)

You agree to provide accurate and complete payment information. You authorize us to charge your selected payment method for the total order amount, including applicable taxes and shipping fees. The purchase price is a one-time, non-recurring charge. No subscription, automatic renewal, or recurring billing is enrolled as part of this purchase.

4.3

Order Cancellation.

(a)

We reserve the right to cancel or refuse any order for any reason, including but not limited to:

(i)

suspected fraud or unauthorized payment;

(ii)

pricing or product description errors on the Store;

(iii)

product unavailability;

(iv)

orders that appear to be placed by resellers or for commercial resale purposes;

(v)

the purchaser does not meet the eligibility requirements in Section 2.

(b)

If we cancel your order after payment has been charged, we will issue a full refund to your original payment method.

5. SHIPPING AND DELIVERY

5.1

Shipping.

(a)

We ship from the United States for domestic orders and offer international shipping to select destinations. Shipping methods, estimated delivery times, and costs are displayed at checkout.

(b)

Estimated delivery times are not guaranteed and may vary due to carrier delays, customs processing, or other factors beyond our control. We are not liable for delays caused by the shipping carrier.

5.2

Risk of Loss.

(a)

United States and other non-EU/UK jurisdictions: Title and risk of loss pass to you upon delivery of the product to the shipping carrier.

(b)

EU, UK, and EEA: Title and risk of loss pass to you upon physical delivery of the product to you (or a person you have designated), in accordance with applicable consumer protection law.

5.3

Shipping Costs. Shipping costs are non-refundable, except where a return is due to our error or a defective product, or where required by applicable law.

6. EU/UK RIGHT OF WITHDRAWAL

6.1

This section applies only to consumers located in the European Union, European Economic Area, or the United Kingdom.

6.2

Your Right to Withdraw. You have the right to withdraw from this purchase within 14 calendar days from the day you (or a person you designate, other than the carrier) receive the product, without giving any reason.

(a)

To exercise this right, you must inform us of your decision by a clear statement sent via email to support@flipper.net.

(b)

6.3

Conditions. You must return the product within 14 days of notifying us of your withdrawal. To receive a full refund without deduction:

(a)

The product should be in its original condition with all packaging, accessories, and documentation.

(b)

You may handle the product to the extent necessary to establish its nature, characteristics, and functioning (as you would in a store).

(c)

You are liable for any diminished value of the product resulting from handling beyond what is necessary to establish the nature, characteristics, and functioning of the product.

6.4

Refund.

(a)

We will refund the full purchase price (including the cost of standard delivery) within 14 days of receiving the returned product, or within 14 days of you providing evidence that you have sent the product back, whichever is earlier. We will issue the refund using the same payment method you used for the original purchase.

(b)

We may withhold the refund until we have received the returned product or you have supplied evidence of having sent it back.

6.5

Return Shipping Costs.

(a)

You bear the direct cost of returning the product, unless the product is defective or we delivered the wrong item.

(b)

United Kingdom: We will provide a prepaid return shipping label to consumers in the United Kingdom exercising their right of withdrawal under this Section 6.

6.6

Failure to Inform. If we fail to inform you about your right of withdrawal before the purchase, the withdrawal period extends to 12 months and 14 days from the date of receipt.

6.7

Post-Withdrawal Return Option. After the 14-day withdrawal period ends, and up to 30 days from delivery, you may still return the product on the same terms as Section 7, provided the product is in its original condition (subject to the same handling standard as Section 6.3). Return shipping costs and refund terms for returns under this provision are governed by Section 7.

7. RETURNS AND REFUNDS (NON-EU/UK)

7.1

This section applies to consumers not covered by Section 6.

7.2

Return Policy. You may return your BUSY Bar within 30 calendar days of delivery for a refund, subject to the following conditions:

(a)

The product must be unopened, with the original packaging and factory seal intact.

(b)

All original packaging, accessories, and documentation must be included.

(c)

You must contact us at support@flipper.net to initiate a return and receive return instructions.

7.3

Upon processing your return, we will unlink the device from your account and delete associated device data in accordance with our Privacy Policy. Your BUSY App account will remain active. If you are returning a defective or damaged product that you have set up, please factory-reset the device before shipping it back.

7.4

For customers in the United States, Canada, and Australia, we will provide a prepaid return shipping label upon approval of your return request. For customers in the United Kingdom, please refer to Section 6, which covers your right of withdrawal.

7.5

Lost or Stolen Parcels. If your shipment is reported by the carrier as delivered but you did not receive it, or if the parcel is lost in transit, contact us at support@flipper.net as soon as reasonably practicable. We will open an investigation with the carrier and, where applicable, the shipping insurer. We will use commercially reasonable efforts to complete the investigation within 15 business days. Once the investigation is complete (or if it is not resolved within that period), you may elect to receive either a replacement shipment or a full refund.

7.6

Defective Products. If your product arrives defective or damaged, contact us at support@flipper.net as soon as reasonably practicable. We will, at our option:

(a)

repair the product;

(b)

replace the product; or

(c)

issue a full refund (if repair or replacement is not possible).

We will cover return shipping costs for defective products.

7.7

Refund Processing. Approved refunds will be credited to your original payment method within 10 business days of our receipt of the returned product. Original shipping costs are non-refundable unless the return is due to a defective product or our error.

7.8

Non-Returnable Items. We do not accept returns for products that have been physically damaged by the buyer, modified, or show signs of use inconsistent with normal product evaluation.

7.9

Underage Purchasers. If a purchase was made by a person below the minimum age in Section 2, or if a parent or legal guardian exercises their right to void the contract under applicable law, we will process a full refund regardless of the return conditions in Section 7.2.

7.10

Statutory Consumer Rights. Nothing in this Section 7 limits or excludes any mandatory consumer protection rights that apply to you under the laws of your jurisdiction, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) and the Quebec Consumer Protection Act (CQLR c P-40.1). Where a mandatory right provides greater protection than these Terms, that right prevails.

8. LIMITED WARRANTY

8.1

Warranty Coverage.

(a)

Flipper Devices, Inc. warrants to the original purchaser that the BUSY Bar will be free from defects in materials and workmanship under normal use for a period of 1 year from the date of delivery (“Warranty Period”). For consumers in the European Union, the European Economic Area, and the United Kingdom, the Warranty Period is 2 years from the date of delivery, in addition to your statutory rights under applicable consumer law.

(b)

This is a Limited Warranty within the meaning of the Magnuson-Moss Warranty Act (15 U.S.C. §§ 2301–2312).

8.2

Remedy.

(a)

If a defect covered by this warranty appears during the Warranty Period, contact us at support@flipper.net with your order number and a description of the issue. We will, at our option (except where applicable law gives you the right to choose the remedy):

(i)

repair the product;

(ii)

replace the product with a replacement unit of equal or greater functionality; or

(iii)

refund the purchase price, if repair or replacement is not commercially practicable.

(b)

EU/EEA consumers: You have the right to choose between repair and replacement as your preferred first-tier remedy, unless the remedy you choose is impossible or would impose disproportionate costs on us compared to the alternative remedy (Directive (EU) 2019/771, Arts. 13–14). If neither repair nor replacement is possible, or if we fail to complete the chosen remedy within a reasonable time and without significant inconvenience to you, you are entitled to a proportionate price reduction or a full refund.

(c)

We will cover shipping costs for warranty claims.

8.3

Exclusions.

(a)

This warranty does not cover:

(i)

damage caused by accident, misuse, abuse, or neglect;

(ii)

damage caused by use with non-compatible accessories or power sources;

(iii)

normal wear and tear and cosmetic changes that do not affect functionality;

(iv)

cosmetic damage (scratches, dents) that does not affect functionality;

(v)

damage caused by failure to follow product instructions;

(vi)

damage caused by acts of nature, power surges, or environmental conditions.

(b)

Use of third-party parts, tools, or independent repair providers does not automatically void this warranty. Warranty coverage is only affected to the extent that damage is directly caused by such repair.

8.4

Limitation on Implied Warranties. TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED IN DURATION TO THE WARRANTY PERIOD. Some jurisdictions do not allow limitations on the duration of implied warranties, so this limitation may not apply to you. In particular, this limitation does not apply to consumers in the EU/UK (where statutory conformity guarantees apply), Australia (where consumer guarantees under the Australian Consumer Law have no fixed duration), or Canada (where provincial consumer protection legislation may provide non-waivable warranty rights).

8.5

Statutory Consumer Rights.

(a)

Nothing in this warranty limits your statutory rights under applicable consumer protection law.

(b)

For consumers in the European Union: you are entitled to a minimum two-year guarantee of conformity under Directive (EU) 2019/771 (Sale of Goods Directive). If a lack of conformity becomes apparent within two years of delivery, you are entitled to have the product brought into conformity free of charge, through repair or replacement, or to receive a price reduction or full refund. For defects that appear within one year of delivery, the defect is presumed to have existed at the time of delivery unless we can demonstrate otherwise (Art. 11(1)). Several Member States, including France and Germany, extend this presumption period to two years (Art. 11(2)). In Spain, the guarantee of conformity period is three years from delivery (LGDCU Art. 120).

(c)

For consumers in the United Kingdom: your statutory rights under the Consumer Rights Act 2015 are unaffected. You have a 30-day right to reject faulty goods for a full refund, followed by a right to repair or replacement, and then a right to a price reduction or final right to reject.

(d)

These statutory rights apply in addition to, and are not replaced by, this Limited Warranty.

(e)

This warranty gives you specific legal rights, and you may also have other rights which vary from state to state.

(f)

For consumers in Australia: our goods come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

(g)

For consumers in Canada: your rights under applicable provincial consumer protection legislation, including statutory warranties and cooling-off periods for distance sales, are not affected by this Limited Warranty or any other provision of these Terms.

8.6

Firmware Updates and Warranty.

(a)

Firmware updates delivered to the BUSY Bar through the BUSY App or over-the-air update mechanism are authorized updates for purposes of this warranty. Damage to your device resulting from an authorized firmware update is not excluded from warranty coverage under Section 8.3.

(b)

To evaluate your warranty claim, we may request that you provide or authorize access to diagnostic information about your device (such as firmware version, error logs, connectivity history, and device identifier from your BUSY Cloud account). By submitting a warranty claim, you authorize us to obtain this data for the sole purpose of evaluating and fulfilling your claim. Failure to provide requested diagnostic information does not void your warranty, but may delay our ability to process your claim.

(c)

Security Update Support Period. The BUSY Bar will receive security updates for at least 2 years from the date of first supply. For full details, see our Compliance page.

9. LIMITATION OF LIABILITY

9.1

Liability Cap. To the maximum extent permitted by applicable law, our total aggregate liability to you for all claims arising out of or related to these Terms, the product, or your purchase will not exceed the purchase price you paid for the product giving rise to the claim.

9.2

Exclusion of Damages. To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

9.3

Failure of Essential Purpose. If any limited remedy provided under these Terms is found to have failed of its essential purpose, the liability limitations in Sections 9.1 and 9.2 will not apply to the extent prohibited by applicable law, and you may pursue any remedies available at law or in equity, subject to the other provisions of these Terms.

9.4

Exceptions. Nothing in these Terms excludes or limits our liability for:

(a)

fraud or fraudulent misrepresentation;

(b)

death or personal injury caused by our negligence;

(c)

any liability that cannot be excluded or limited under applicable law, including (for EU/UK consumers) liability under applicable product liability legislation, including the Product Liability Directive (85/374/EEC) and, upon its transposition, Directive (EU) 2024/2853, the Sale of Goods Directive (EU) 2019/771, and the Consumer Rights Act 2015 (UK); (for Australian consumers) liability under consumer guarantees in Schedule 2 of the Competition and Consumer Act 2010 (Cth); and (for Canadian consumers) liability under applicable provincial consumer protection legislation; or

(d)

willful misconduct.

9.5

Firmware Updates. If your product is rendered inoperable or materially degraded as a direct result of a firmware update delivered through the companion application, we will, at our option, repair, replace, or refund the product via your original method of payment, regardless of whether the firmware update was developed or delivered by us or by our service provider. This obligation applies during the Warranty Period. For EU/EEA consumers, the remedy rights in Section 8.2 (including your right to choose between repair and replacement) apply.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1

Governing Law. These Terms and any dispute arising out of or relating to them, the product, or your purchase will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. If you are a consumer in the EU/EEA, UK, or Switzerland, this choice of law does not deprive you of the protection of mandatory consumer protection laws of your country of residence. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.

10.2

Informal Dispute Resolution. Before initiating arbitration or court proceedings, we encourage you to contact us at legal@flipper.net with a description of the dispute, the relief you seek, and your contact information. We will make a good-faith effort to resolve the dispute within 30 days of receiving your notice. If we cannot resolve the dispute within that period, you may proceed to arbitration (if Section 10.3 applies to you) or to court. Compliance with this informal resolution process is a condition precedent to commencing arbitration for US consumers; it is optional for consumers in all other jurisdictions.

10.3

Arbitration (United States Only). This section applies only to consumers located in the United States:

BY AGREEING TO THESE TERMS, YOU AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PRODUCT (EXCEPT AS SET FORTH BELOW) WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL.

(a)

Arbitration Rules. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, available at www.adr.org. If the AAA is unable to administer the arbitration, the parties will agree on an alternative arbitration forum.

(b)

Individual Basis Only. All claims must be brought in your individual capacity, not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding. You and Flipper each waive any right to participate in a class action, class-wide arbitration, or any other representative proceeding.

(c)

Small Claims Exception. Either party may bring an individual claim in small claims court if it falls within that court’s jurisdictional limits.

(d)

Public Injunctive Relief. Nothing in this arbitration provision prevents you from seeking public injunctive relief in court to the extent such relief is not waivable under applicable law (see McGill v. Citibank, N.A., 2 Cal. 5th 945 (2017)).

(e)

Warranty Claims Exception. Claims arising under the Limited Warranty in Section 8 are excluded from mandatory arbitration. You may bring warranty claims in any court of competent jurisdiction. If a dispute includes both warranty and non-warranty claims, the warranty claims will be resolved in court; the non-warranty claims will be resolved according to this Section 10. This exclusion is provided in light of the Magnuson-Moss Warranty Act.

(f)

30-Day Opt-Out Right. You may opt out of this arbitration provision by sending written notice to legal@flipper.net within 30 days of your first purchase. Your notice must include your name, order number, and a clear statement that you opt out of arbitration. If you opt out, you may bring claims in any court of competent jurisdiction in the state where you reside or in the state and federal courts located in New York County, New York.

(g)

Limitation Period. To the maximum extent permitted by applicable law, any cause of action or claim subject to arbitration under this section must be commenced within 1 year after the cause of action accrues.

10.4

EU/EEA/UK/Switzerland/Canada/Australia Consumers. The arbitration provision (Section 10.3) does not apply to consumers habitually resident in the European Union, European Economic Area, United Kingdom, Switzerland, Canada, or Australia. If you are a consumer in any of these jurisdictions:

(a)

You may bring proceedings in the courts of your country of habitual residence.

(b)

Nothing in these Terms deprives you of the protection afforded by the mandatory provisions of the consumer protection law of your country of habitual residence.

(c)

You may also have the right to refer a dispute to an alternative dispute resolution body. EU consumers may submit complaints through the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

(d)

For Canada residents: Forum selection and choice-of-law clauses may be unenforceable against Canadian consumers under applicable provincial consumer protection law. In Quebec, class action waivers are void under the Consumer Protection Act (art. 11.1). In British Columbia, mandatory arbitration clauses and class action waivers in consumer contracts are void under the Business Practices and Consumer Protection Amendment Act, 2025 (Bill 4).

10.5

Fallback Jurisdiction. For any dispute not subject to arbitration under Section 10.3 and not covered by Section 10.4, you and we each consent to the jurisdiction of the state and federal courts located in New York County, New York.

11. MODIFICATIONS TO TERMS

11.1

We may update these Terms from time to time by posting the updated Terms on the Store with a revised “Last updated” date.

11.2

Changes will not affect orders that were accepted before the effective date of the updated Terms.

11.3

By placing a new order after the effective date of updated Terms, you agree to the updated Terms as they apply to that order.

12. GENERAL PROVISIONS

12.1

Entire Agreement. These Terms, together with our Privacy Policy and any applicable Limited Warranty documentation, constitute the entire agreement between you and us regarding the purchase of products through the Store.

12.2

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.

12.3

Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

12.4

Assignment. We may assign our rights and obligations under these Terms to any affiliate or successor entity, or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, without your consent. You may not assign your rights or obligations without our prior written consent.

12.5

Force Majeure. We will not be liable for any delay or failure to perform our obligations under these Terms if the delay or failure results from circumstances beyond our reasonable control, including natural disasters, pandemics, war, government action, or disruptions to shipping or supply chains.

12.6

Survival. Sections 8 (Limited Warranty), 9 (Limitation of Liability), 10 (Governing Law and Dispute Resolution), and this Section 12 survive any cancellation, return, or expiration of these Terms.

12.7

Export Compliance. The product is subject to U.S. export control laws and regulations. You agree not to export or re-export the product in violation of applicable export laws. You represent that you are not located in any country subject to a U.S. government embargo and that you are not on any U.S. government restricted-parties list.

12.8

Intellectual Property. Your purchase of a BUSY Bar does not transfer any intellectual property rights to you. All rights in the product design, hardware, firmware, software, and trademarks remain with Flipper Devices, Inc. or its licensors. The firmware embedded in the BUSY Bar is licensed, not sold, and its use is governed by our Terms of Service.

12.9

EU and UK Authorized Representative (Product Compliance).

For inquiries from market surveillance authorities or consumers regarding the product safety and regulatory compliance of the BUSY Bar in the European Union or the United Kingdom, our authorized representative is:

13. EU/UK CONSUMER RIGHTS NOTICE

13.1

If you are a consumer in the European Union, EEA, or the United Kingdom, the following is a summary of key rights that apply to your purchase by operation of law. These rights cannot be excluded or reduced by contract.

13.2

Guarantee of conformity. You are entitled to a product that conforms to the contract description, is fit for its intended purpose, and is of satisfactory quality. In the EU, this protection lasts at least two years from delivery. In the UK, you have a 30-day short-term right to reject, followed by a right to repair or replacement.

13.3

Right of withdrawal. You have 14 days from receipt to withdraw from your purchase without giving a reason. See Section 6 for full details.

Right to complain. You have the right to complain to your local consumer protection authority or to use the European Commission’s Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr).

13.4
